3. Account Registration and Management

• Eligibility: You must be at least 18 years of age or the legal age of majority in your jurisdiction to use our Services.

• Registration Information: You agree to provide accurate, current, and complete information during the registration process. You are responsible for keeping this information updated.

• Account Security: You are responsible for safeguarding your account credentials (username and password). You agree to notify us immediately of any unauthorized use of your account.

• Account Suspension/Termination: We reserve the right to suspend or terminate your account, without notice, if we suspect a violation of these Terms, illegal activity, or inappropriate use of our Services.

4. Payment and Billing

• Service Fees: You agree to pay all applicable fees associated with your chosen Service plan. Fees are outlined on our website.

• Payment Methods: We accept payment via Credit card, PayPal 

• Billing Cycle: Services are billed on a recurring basis. You authorize us to charge your chosen payment method automatically for each billing cycle unless you cancel your service before the next billing date.

• Late Payment: Late payments may result in suspension of your Services. Late fees may also apply.

• Taxes: You are responsible for any applicable taxes associated with your purchase and use of our Services.

5. Acceptable Use Policy (AUP)

You agree not to use our Services for any purpose that:

• Violates any local, national, or international laws or regulations.

• Infringes upon the intellectual property or other rights of others.

• Involves illegal activities, such as hacking, spamming, or distributing malware.

• Involves the transmission of harmful or offensive content, including but not limited to hate speech, pornography, or violence.

• Disrupts the integrity or stability of our infrastructure, networks, or services, or the services of other users.

• Violates our resource utilization policies or any specific requirements outlined on our Site.

We reserve the right to monitor resource utilization and take action, including suspension or termination of accounts, if we suspect violations of our AUP.

6. Your Data and Content

• Ownership: You retain ownership of all data and content that you store or transmit using our Services.

• Responsibility: You are solely responsible for the content you store and transmit and for ensuring that it complies with all applicable laws and regulations.

• Backups: You are responsible for creating and maintaining backups of your data. We do not guarantee the availability or recoverability of your data in the event of a hardware failure, data loss, or other issue.

• Content Liability: We are not responsible for the content hosted or transmitted using your VPS.

7. Intellectual Property

• Ownership: We retain all ownership and intellectual property rights in our Site, Services, and trademarks.

• Limited License: We grant you a limited, non-exclusive, non-transferable license to access and use our Site and Services for your own personal or business purposes, subject to these Terms.

8. Service Level Agreement (SLA)

9. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We disclaim all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, data, use, goodwill, or other intangible losses, resulting from your access to or use of our Services or these Terms. Our maximum liability for any claim will not exceed the amount you paid us for Services in the previous three months.

11. Indemnification

You agree to indemnify, defend, and hold harmless Uniform Scale LLC, its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including attorneys' fees) arising from your use of our Services, your violation of these Terms, or your infringement of any third-party rights.

These Terms and your use of our Services shall be governed by and construed in accordance with the laws of United States, without regard to its conflict of laws principles. Any disputes shall be resolved exclusively in the courts located in Missouri.
